Welcome to OnPlate! These Terms of Use ("Terms") are a binding legal agreement between you and Appshero Ltd ("OnPlate", "we", "us", "our") and govern your access to and use of the OnPlate website, onplate.app, the OnPlate mobile application, and any related features, content and communications (collectively, the "Services"). By accessing, downloading, or using the Services, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not access or use the Services.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AN INDEMNIFICATION OBLIGATION, AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS THAT AFFECT YOUR LEGAL RIGHTS.

1. Eligibility

You must be at least 18 years of age to use the Services. By accessing or using the Services, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms, and that your use of the Services will comply with all applicable laws and regulations. We may refuse, suspend, or terminate access to the Services to anyone, at any time, at our sole discretion.

2. License to Use

Subject to your compliance with these Terms, OnPlate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use only. You may not, and may not permit others to: copy, modify, adapt, translate, or create derivative works of the Services; reverse engineer, decompile, or disassemble any part of the Services; rent, lease, lend, sell, sublicense, or otherwise distribute or commercially exploit the Services; or remove, obscure, or alter any proprietary notices. We reserve all rights not expressly granted to you. We may modify, suspend, or discontinue the Services, in whole or in part, at any time and without liability to you.

3. Your Account

If you create an account, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to notify us immediately of any unauthorized access or use. We may suspend or disable your account at our sole discretion, including if we believe you have violated these Terms, and we are not liable for any loss resulting from such suspension or termination.

4. Intellectual Property Rights

The Services and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, logos, and design) are owned by OnPlate, Appshero Ltd, or their licensors and are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You may download or print a reasonable number of copies of pages of the Services for your own personal, non-commercial use only, provided you do not modify them or remove any proprietary notices. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license expressly stated. If you submit any feedback, ideas, or suggestions about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that Feedback for any purpose without obligation or compensation to you.

5. Prohibited Uses

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

  • use the Services in any way that violates any applicable law or regulation;
  • use the Services to infringe the intellectual property, privacy, or other rights of any third party;
  • use the Services in violation of the terms of any third-party platform from which you import content;
  • exploit, harm, or attempt to exploit or harm minors in any way;
  • transmit any unsolicited or unauthorized advertising or promotional material ("spam");
  • impersonate or attempt to impersonate OnPlate, another user, or any other person or entity;
  • introduce any viruses, malware, or other material that is malicious or technologically harmful;
  • use any robot, scraper, or other automated means to access the Services, or attempt to launch a denial-of-service attack;
  • otherwise attempt to interfere with, compromise, or disrupt the proper working of the Services or its security.

You are solely responsible for your conduct and any content you import, submit, or share, and you assume all risks associated with it.

6. User Contributions

The Services may allow you to post, submit, import, or share content, including links, notes, and other materials ("Contributions"). Any Contribution you provide is treated as non-confidential. You retain ownership of your Contributions, but you grant OnPlate a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, reproduce, modify, and display your Contributions as needed to operate, provide, and improve the Services. You represent and warrant that you own or have all necessary rights to your Contributions and that they do not violate these Terms or any third-party rights. We are under no obligation to monitor Contributions, but we may remove, refuse, or disable access to any Contribution at our sole discretion and without notice, and we may terminate accounts that violate these Terms.

7. Recipe Content and Assumption of Risk

OnPlate processes links and videos that you choose to import and uses automated methods to extract ingredients and steps. This extraction may be inaccurate, incomplete, or out of date. You are solely responsible for reviewing and verifying every recipe before relying on or acting on it, including ingredients, quantities, cooking instructions, nutritional information, allergens, and food safety.

OnPlate does not provide medical, dietary, nutritional, or professional advice, and the Services are not a substitute for the judgment of a qualified professional. Any nutritional or dietary information is an estimate provided for convenience only. You assume all risks arising from preparing, consuming, or serving any food based on content obtained through the Services, including risks relating to allergens, intolerances, foodborne illness, and dietary restrictions. To the maximum extent permitted by law, OnPlate disclaims all liability arising from such risks.

8. Third-Party Content and Platforms

OnPlate is a neutral tool that helps you organize content you choose to import. The Services may rely on or interoperate with third-party platforms (such as TikTok and Instagram) and may contain links to third-party websites or resources. OnPlate is not affiliated with, endorsed by, or sponsored by TikTok, Instagram, Apple, or any other platform, and we do not control and are not responsible for third-party content, websites, services, or terms. You are responsible for complying with the terms of any third-party platform from which you import content, and your use of any third-party service is at your own risk and subject to that third party's terms and policies.

9. Copyright Complaints

OnPlate respects the intellectual property rights of others and expects users to do the same. You are responsible for ensuring that you have the right to import and use any content for your personal use, and recipes or other content created from third-party videos remain subject to the rights of their original creators. If you believe that content available through the Services infringes your copyright, please send a notice to hello@onplate.app including: (a) identification of the copyrighted work; (b) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf; and (f) your physical or electronic signature. We may remove allegedly infringing content and terminate the accounts of repeat infringers at our discretion.

10. Subscriptions & Billing

OnPlate offers a paid subscription ("OnPlate Premium") that unlocks additional features. It is available as a monthly plan ($9.99 / month) or a yearly plan ($39.99 / year), each starting with a 3-day free trial. Subscriptions purchased through the App are processed by Apple via your App Store account.

  • Payment is charged to your Apple ID at confirmation of purchase. Prices may vary by region and are shown in the App before you confirm.
  • If your free trial is not cancelled before it ends, it automatically converts to a paid subscription.
  • Subscriptions renew automatically unless auto-renewal is turned off at least 24 hours before the end of the current period.
  • You can manage and cancel your subscription in your Apple ID settings under Subscriptions.
  • Except where required by applicable law, payments are non-refundable and there are no refunds or credits for partially used periods. Refunds for App Store purchases are handled by Apple under the App Store terms.

11. Apple App Store Terms

The following terms apply when you obtain the App through the Apple App Store:

  • These Terms are between you and Appshero Ltd only, and not with Apple Inc. ("Apple"). Appshero Ltd, not Apple, is solely responsible for the App and its content.
  • Your use of the App must comply with the Apple Media Services Terms and Conditions and the applicable App Store Usage Rules.
  • Apple has no obligation to furnish any maintenance or support services with respect to the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Appshero Ltd, not Apple, is responsible for addressing any claims relating to the App, including product liability, failure to conform to legal or regulatory requirements, consumer protection claims, and intellectual property claims.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

12. Disclaimers

THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OnPlate AND APPSHERO LTD DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OnPlate does not warrant that recipes extracted from videos will be accurate, complete, safe, or suitable for any particular purpose, or that the Services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. Any material obtained through the Services is accessed at your own discretion and risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OnPlate, APPSHERO LTD, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF OnPlate AND APPSHERO LTD ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless OnPlate, Appshero Ltd, and their affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms or any applicable law; (b) your use or misuse of the Services; (c) any content you import, submit, or contribute, including any claim that it infringes or misappropriates a third party's rights; or (d) your violation of any rights of a third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.

15. Dispute Resolution; Class Action Waiver

Before bringing any formal proceeding, you agree to first contact us at hello@onplate.app and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND OnPlate AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. TO THE EXTENT PERMITTED BY LAW, YOU AND OnPlate WAIVE ANY RIGHT TO A JURY TRIAL. This section does not apply where prohibited by applicable law, and does not deprive you of any mandatory rights, including the right to bring a claim before the courts of your country of residence where required by law.

16. Governing Terms

These Terms, and any dispute arising out of or relating to them or the Services, are governed by the applicable laws that apply to you, without regard to conflict-of-law principles. Any mandatory consumer-protection rights you have under the laws of your country of residence remain unaffected by these Terms.

17. Limitation Period

To the extent permitted by applicable law, any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

18. Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for any violation of these Terms. Upon termination, the license granted to you ends and you must stop using the Services. All provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and the general provisions — will survive.

19. General

Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and OnPlate regarding the Services and supersede all prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.

Headings. Section headings are for convenience only and have no legal effect.
